Welcome to the website of Grosse Ile Athletic Club (“GIAC,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, online services, membership and reservation interfaces, account features, and other digital services that link to these Terms (collectively, the “Services”).

By accessing or using the Services, creating an account, purchasing a membership or package, making a reservation, or otherwise completing a transaction through the Services, you agree to these Terms.

If you do not agree to these Terms, please do not use the Services.

1. ABOUT GROSSE ILE ATHLETIC CLUB

Grosse Ile Athletic Club provides athletic, fitness, recreational, instructional, and related services, which may include:

• Gym and fitness facility access;
• Tennis and pickleball;
• Court reservations and rentals;
• Pilates and other fitness classes;
• Private and group instruction;
• Personal training and coaching;
• Memberships, packages, passes, and drop-in access;
• Leagues, clinics, tournaments, programs, and special events; and
• Other athletic club services and amenities.

Availability, pricing, schedules, instructors, programs, and amenities may change from time to time.

2. ELIGIBILITY AND ACCOUNT RESPONSIBILITY

You must provide accurate, current, and complete information when creating an account, purchasing a membership, registering for a program, or making a reservation.

You are responsible for:

• Maintaining the confidentiality of your login credentials;
• All activity conducted through your account;
• Keeping your contact and payment information current;
• Promptly notifying GIAC if you believe your account has been accessed without authorization; and
• Ensuring that information submitted for yourself or a minor participant is accurate.

You may not impersonate another person, create an account using false information, or use another member’s account without authorization.

3. THIRD-PARTY PLATFORMS

Certain GIAC Services may be provided, hosted, processed, or supported through third-party platforms, including Arketa, payment processors, scheduling services, communication providers, and other technology vendors.

When you use a third-party service, additional terms or privacy policies provided by that third party may apply.

GIAC is not responsible for the independent acts, omissions, availability, security, functionality, or policies of third-party services that we do not control.

A technical error, delay, outage, or display issue involving a third-party platform does not alter the underlying terms of a valid GIAC membership, reservation, purchase, or other transaction.

4. MEMBERSHIPS, PASSES, PACKAGES, AND PROGRAMS

Memberships, class packages, court packages, day passes, promotional offers, and other products are subject to the specific terms disclosed at the time of purchase.

Depending on the product, those terms may include:

• Membership eligibility requirements;
• Membership start and expiration dates;
• Recurring billing terms;
• Commitment periods;
• Usage limits;
• Reservation privileges;
• Guest privileges;
• Member pricing;
• Cancellation requirements;
• Renewal provisions;
• Promotional restrictions; and
• Other membership-specific conditions.

If a specific membership agreement, purchase agreement, promotional offer, or written policy conflicts with these general Terms regarding that particular product, the more specific terms will control.

Memberships, passes, packages, discounts, and promotional pricing may be non-transferable and may not be shared unless GIAC expressly states otherwise.

GIAC may require verification of eligibility for discounted, promotional, student, family, corporate, or other specially priced memberships.

5. PRICING AND PAYMENT

Prices displayed through the Services are stated in U.S. dollars unless otherwise indicated.

You agree to pay all charges associated with purchases made through your account, including applicable taxes and authorized recurring charges.

GIAC may correct pricing, typographical, technical, or display errors. If an error materially affects a transaction that has already been submitted, GIAC may contact you to correct, cancel, refund, or otherwise resolve the transaction as appropriate.

Submitting a payment does not necessarily guarantee acceptance of a membership, reservation, program registration, or other purchase when additional eligibility, availability, or approval requirements apply.

6. RECURRING BILLING

If you purchase a membership or service that automatically renews, you authorize the applicable payment method to be charged according to the billing terms presented to you when you enroll.

The applicable enrollment or membership terms will identify the billing frequency, price, renewal conditions, and cancellation requirements.

You are responsible for maintaining a valid payment method.

Failed or declined payments may result in suspension of membership privileges or other Services until the account is brought current, subject to applicable law and GIAC policies.

7. RESERVATIONS AND SCHEDULING

Reservations may be required for courts, classes, training sessions, Pilates sessions, programs, or other activities.

Reservations are subject to availability and any applicable:

• Advance booking limits;
• Cancellation deadlines;
• No-show policies;
• Late cancellation charges;
• Member or non-member pricing;
• Court or room capacity;
• Program eligibility requirements; and
• Other reservation rules displayed at the time of booking or otherwise communicated by GIAC.

A reservation is not guaranteed until it has been successfully confirmed through the applicable reservation system.

GIAC may modify, relocate, reschedule, substitute, or cancel a reservation, class, instructor, court assignment, program, or activity when reasonably necessary.

8. CANCELLATIONS AND REFUNDS

Membership cancellation, class cancellation, court cancellation, package expiration, refund, and credit policies may vary depending on the product purchased.

Any specific cancellation or refund terms presented when you purchase or reserve a service form part of your agreement with GIAC.

Unless required by law or expressly stated otherwise, unused memberships, passes, packages, reservations, or sessions are not automatically refundable.

GIAC may issue refunds, account credits, extensions, or other accommodations at its discretion where appropriate.

9. CLUB RULES AND FACILITY POLICIES

Use of GIAC facilities and participation in GIAC activities are also subject to applicable club rules, safety requirements, reservation policies, membership policies, posted notices, and reasonable instructions from GIAC staff.

You agree to conduct yourself in a safe and respectful manner.

GIAC may deny, suspend, or terminate access to the facility or Services for conduct including:

• Harassment, threats, or abusive behavior;
• Unsafe or reckless conduct;
• Intentional damage to property;
• Theft;
• Unauthorized access;
• Fraud or misuse of memberships or accounts;
• Repeated violation of club policies; or
• Conduct that materially interferes with the safety, rights, or experience of other members, guests, staff, or participants.

10. ASSUMPTION OF RISK AND LIABILITY WAIVER

Physical exercise, sports, athletic instruction, and use of fitness facilities involve inherent risks.

Participation in GIAC activities may therefore require acceptance of a separate Release of Liability, Assumption of Risk & Participation Agreement.

These Terms do not replace that agreement.

Where applicable, the separately accepted liability waiver, participation agreement, or other activity-specific agreement is incorporated by reference and applies in addition to these Terms.

11. MINORS

A parent or legal guardian may be required to register, provide consent for, or enter into agreements on behalf of a minor.

Minors may not independently enter into transactions or agreements when parental or guardian authorization is required by GIAC or applicable law.

Additional policies may apply to youth programs, junior memberships, lessons, camps, clinics, or other activities involving minors.

12. COMMUNICATIONS

By providing your contact information, you authorize GIAC and service providers acting on our behalf to send communications reasonably necessary to administer your account or relationship with GIAC, including:

• Account notifications;
• Purchase and payment confirmations;
• Reservation confirmations and changes;
• Schedule changes;
• Membership notices;
• Facility or weather-related notices;
• Security notifications; and
• Customer service communications.

Marketing emails or text messages will be sent subject to applicable law and any consent requirements that apply.

Where available, you may unsubscribe from promotional communications using the instructions contained in those communications. Transactional and account-related communications may still be sent when necessary.

13. WEBSITE CONTENT

Unless otherwise indicated, the website and its contents, including text, graphics, logos, photographs, videos, layouts, designs, icons, software, and other materials, are owned by or licensed to GIAC and are protected by applicable intellectual property laws.

You may use the website for personal, non-commercial purposes.

You may not, without authorization:

• Copy or commercially exploit website content;
• Republish substantial portions of the website;
• Remove copyright or proprietary notices;
• Attempt to reverse engineer website functionality;
• Scrape or systematically collect website data;
• Interfere with website security or operation; or
• Use GIAC trademarks, branding, photographs, or other intellectual property in a manner that suggests an unauthorized affiliation or endorsement.

14. ACCEPTABLE USE

You may not use the Services to:

• Violate any applicable law;
• Commit fraud or misrepresentation;
• Access another person’s account without authorization;
• Introduce viruses, malicious code, or disruptive software;
• Attempt to circumvent security measures;
• Interfere with the operation of the website or reservation system;
• Collect information about other users without authorization;
• Make fraudulent reservations or transactions; or
• Use automated systems in a manner that materially interferes with the Services.

15. THIRD-PARTY LINKS

The website may contain links to third-party websites, applications, social media services, maps, payment services, booking systems, or other external resources.

Links are provided for convenience and do not necessarily constitute GIAC’s endorsement of the third party.

GIAC is not responsible for the content, availability, security, or privacy practices of third-party websites or services.

16. WEBSITE AVAILABILITY

GIAC does not guarantee that the website, member account system, scheduling system, payment system, or other online Services will always be uninterrupted, error-free, or available.

GIAC may modify, suspend, replace, or discontinue portions of the Services when reasonably necessary.

When online functionality is temporarily unavailable, GIAC may provide alternative methods of contacting the club, booking services, or managing an account where practical.

17. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, the website and online Services are provided on an “as is” and “as available” basis.

GIAC does not warrant that:

• The Services will always be uninterrupted or error-free;
• All website content will always be current or free from typographical errors;
• Third-party systems will operate without interruption; or
• The website will be free from every security vulnerability or harmful component.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

18. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, GIAC will not be liable for indirect, incidental, special, consequential, or punitive damages arising solely from use of or inability to use the website or online Services.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited.

Liability relating to physical participation in GIAC activities is addressed separately through the applicable liability waiver and participation agreement.

19. INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify and hold harmless GIAC and its owners, officers, directors, employees, contractors, agents, and representatives from third-party claims, losses, liabilities, or expenses arising from:

• Your unlawful or unauthorized use of the Services;
• Your violation of these Terms;
• Fraudulent activity conducted through your account; or
• Your infringement of another party’s rights.

20. TERMINATION OR SUSPENSION

GIAC may suspend or terminate access to an online account or Service when reasonably necessary because of fraud, security concerns, material violations of these Terms, misuse of the Services, or termination of the underlying membership or account.

Termination of online access does not automatically cancel unpaid obligations or other terms that by their nature continue after termination.

21. CHANGES TO THESE TERMS

GIAC may update these Terms from time to time.

When material changes are made, the updated version will be posted with a revised effective date.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

Material changes to an existing paid membership will remain subject to the applicable membership agreement and applicable law.

22. GOVERNING LAW

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles.

To the extent permitted by law, disputes arising from these Terms or use of the Services shall be brought in a court of competent jurisdiction located in Wayne County, Michigan.

23. SEVERABILITY

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.

The invalid provision will be interpreted or modified only to the extent necessary to make it enforceable where permitted by law.

24. ENTIRE AGREEMENT

These Terms, together with any applicable membership agreement, liability waiver, reservation policy, purchase terms, club rules, and other agreements expressly applicable to a particular service, constitute the agreement governing your use of the applicable GIAC Services.
